EULA - End User License Agreement

GENERAL SOFTWARE PRODUCT LICENSE - CARABAO DESKTOP SUITES

This product is protected by International Copyright Laws. Digital Sonata retains the title to and ownership of the Carabao Desktop Suites and its "online" or electronic documentation, referred to as the "Software Product" or "Product".

By installing, downloading, copying, accessing, or otherwise using any portion of the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. You further agree that the EULA is the complete and exclusive statement of agreement between Digital Sonata Pty Ltd. and you and that this EULA supersedes any oral or written proposal, agreement or other communication relating to the subject matter of this EULA. You assume full responsibility for the use of the SOFTWARE PRODUCT and agree to use the software legally and responsibly. If any provision of this EULA is declared unenforceable in any jurisdiction, then such provision shall be deemed to be severable from this EULA and shall not affect the remainder thereof.

You are licensed to use this Product on the following terms and conditions:

LICENSEE and LICENSE - The licensee is defined as the individual or company utilizing the Software Product. Digital Sonata hereby grants you, the licensee, a worldwide, perpetual, nonexclusive license authorizing you to use the enclosed Product on one computer at a time.

You, the licensee, are also permitted to distribute this product to one, and only one machine to host the Program. Use of this product by more than one individual or by anyone other than the licensee terminates, without notification, this license and the right to use this product. Please contact Digital Sonata if you require additional licenses. A site license may be issued on a case-by-case basis.

A reseller license may be issued on bulk purchases of the Product. Issuance will be on a case-by-case basis. To apply for a reseller license, please contact Digital Sonata.

YOU MAY NOT: Modify, de-compile, disassemble, reverse engineer, translate, distribute, rent, sub-license or otherwise make available to others the executable portions of the software or documentation or copies thereof, except as expressly permitted in this License, without prior written consent from Digital Sonata. However, you may modify but not reverse engineer the database that comes with the software for your own use. This License and all other licenses received from Digital Sonata are non-transferable. In the case of an authorized transfer, the transferee must agree to be bound by the terms and conditions of this License Agreement.

You may not remove any proprietary notices, labels, trademarks on the software or documentation.

YOU MAY: create databases or dictionaries using the Product and sell those databases or dictionaries to your client/s. However, YOU MAY NOT sell the database/s created by Digital Sonata. Digital Sonata is not responsible for the quality, content, functionality or/and any other quality of the databases or dictionaries created and/or distributed by the users of Carabao Desktop Suites. In the case of user-created database/s or dictionary/ies, your client/s must obtain licenses from Digital Sonata if use of Carabao components is intended.

TERM - You may terminate your License and this Agreement at anytime by destroying all copies of the Product and Product Documentation. They will also terminate automatically if you fail to comply with any term or condition in this Agreement.

LIMITED WARRANTY - This software and documentation are sold "as is" without any warranty as to their performance, merchantability or fitness for any particular purpose. You, the licensee, expressly acknowledge and assume the entire risk as to the quality and performance of the software.

LIMITED LIABILITY. In no event shall Digital Sonata or anyone else who has been involved in the creation, development, production, or delivery of this software be liable for any direct, incidental or consequential damages, such as, but not limited to, loss of anticipated profits, benefits, use, or data resulting from the use of this software, or arising out of any breach of warranty.

Further, in no event shall Digital Sonatas liability hereunder exceed the amount of license fees paid by you, the licensee, regardless of whether your claim is based on contract, tort, strict liability, product liability or otherwise.

TECHNICAL SUPPORT: Technical support is included in the purchase of the Product unless stated otherwise.
Technical support after the initial period will be charged a fee depending on the cost of licenses purchased.

No technical support is provided for Product that is/are downloaded for free from the Digital Sonata Website;
however you may still purchase technical support. Please contact Digital Sonata for details on technical support.

SOFTWARE UPGRADE: Any upgrade, enhancement, or correction of the Product made by Digital Sonata within the technical support period will be provided to you free of charge.

If not subscribed to a technical support program, you must purchase Product upgrades from Digital Sonata.

JURISDICTION. This License shall be governed by the laws of the COMMONWEALTH OF AUSTRALIA and the STATE OF VICTORIA. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.
